Director - Tax M&A

Top Tier extremely prestigious Private Equity Fund is looking to add a Tax Director to their already impressive M&A Tax team due to rapid growth and new fund launches/formations. This role will be reporting into a VP and rolling up into the MD and head of M&A Tax.

Job Function:
- Review and finalize tax aspects of term sheets and private placement memoranda;
- Review and complete tax aspects of investor correspondence (including due diligence questionnaires);
- Coordinate with the Private Fund Group (PFG) legal group and outside counsel in the review and preparation of limited partnership agreements, subscription agreements, side letters and other fund documents;
- Prepare tax-related marketing materials;
- Provide tax support to PFG and address investor inquiries relating to fund tax matters;
- Assist with tax aspects of growing high net-worth channel distribution and Separately Managed Accounts;
- Liaise with members of the broader tax team to ensure fund and investor documentation appropriately reflects operational practices;
- Coordinate with PFG research team and external counsel to identify and develop tax-efficient legal and tax structures for new strategies/products and stay abreast of best practices; and
- Coordinate with finance and operational teams in respect of ongoing compliance with tax aspects of fund agreements and side letters, capital calls, distributions and investor inquiries.

- At least 5 years of private fund formation tax experience with a law firm or institutional fund sponsor.
- Experience with investor tax issues across multiple jurisdictions.
- JD required and L.L.M. (Taxation) preferred.
